Terms and Conditions for meddevmarket.com

Welcome to meddevmarket.com (the "Platform"), operated by eirmed ltd ("eirmed ltd" or "we/us/our"), a company registered in Sofia, Bulgaria. These Terms and Conditions ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through it. By accessing, browsing, or using the Platform, or by registering as a user (whether as a Manufacturer, Distributor, or Buyer), you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms form a legally binding agreement between you and eirmed ltd. The Platform is provided on an "as is" and "as available" basis, and we make no representations or warranties of any kind regarding its suitability for any purpose, including in the medical device industry.

1. Definitions

  • Manufacturer: A user who registers to advertise, list, or promote medical devices or related products on the Platform.
  • Distributor: A user who registers to facilitate the distribution, resale, or supply chain management of medical devices listed on the Platform.
  • Buyer: A user who registers to search, inquire about, or purchase medical devices from Manufacturers or Distributors via the Platform.
  • User or You: Collectively refers to Manufacturers, Distributors, and Buyers.
  • Platform Operators: Refers to meddevmarket.com and eirmed ltd, collectively.
  • Subscription: Any paid or free membership or access plan provided by the Platform, which may include features like listing devices, sending enquiries, or receiving notifications.
  • Medical Devices: Any products or services listed on the Platform that are intended for medical use, as defined under applicable laws (e.g., EU MDR).

2. User Eligibility and Registration

  • You must be at least 18 years old and legally capable of entering into contracts to use the Platform.
  • Registration requires providing accurate information. You are responsible for maintaining the confidentiality of your account credentials. Any unauthorized access due to your negligence is your sole responsibility.
  • Manufacturers and Distributors must ensure all listings comply with applicable laws, including but not limited to product safety, authenticity, and regulatory approvals (e.g., CE marking under EU law). Buyers must ensure they are authorized to purchase and use Medical Devices.
  • We reserve the right to suspend or terminate any account at our sole discretion, without notice or liability.

3. Roles and Responsibilities of Users

3.1 Manufacturers

  • You are solely responsible for the accuracy, authenticity, and compliance of all listings, advertisements, and information you provide about Medical Devices.
  • You must verify the legitimacy of your products and ensure they are fit for their intended purpose. The Platform does not verify, endorse, or guarantee any listings.
  • You agree to respond promptly to Buyer enquiries. If your Subscription expires or you unsubscribe, you waive any claims against the Platform Operators for missed communications or enquiries not forwarded to you.
  • You are prohibited from listing counterfeit, defective, or non-compliant devices. Any such listings are at your sole risk and liability.

3.2 Distributors

  • You act as an intermediary and are responsible for all aspects of distribution, including product quality, delivery, and compliance with supply chain regulations.
  • You must ensure that any devices you promote or distribute via the Platform are authentic and fit for purpose. The Platform does not assume any role in verifying or facilitating distribution.
  • If your Subscription expires or you unsubscribe, you release the Platform Operators from any liability for disrupted communications or unfulfilled enquiries.

3.3 Buyers

  • You are solely responsible for conducting due diligence on Manufacturers, Distributors, and listed Medical Devices before making enquiries or purchases.
  • You agree that all transactions, communications, and dealings with Manufacturers or Distributors are directly between you and them. The Platform Operators are not parties to any such agreements.
  • You must not misuse the Platform to send uninvited or unsolicited contacts. Any such contacts are your responsibility, and you indemnify us against any resulting claims.

3.4 General User Obligations

  • All Users must comply with these Terms, applicable laws, and any Platform policies. You are responsible for your interactions with other Users.
  • Subscriptions are non-refundable and auto-renew unless cancelled. If a Subscription expires, access to features (e.g., receiving enquiries) may be suspended without notice. You waive any claims for lost opportunities or missed communications due to expiration or failure to renew.
  • If you unsubscribe or opt out of communications, the Platform Operators are not liable for any enquiries or notifications not delivered to you thereafter.

4. Platform Services and Limitations

  • The Platform provides a marketplace for Users to connect regarding Medical Devices but does not sell, supply, or endorse any products.
  • We do not guarantee the availability, accuracy, or completeness of any listings, communications, or services. Features like enquiry forwarding or notifications are provided as a courtesy and may fail without notice.
  • Subscriptions do not guarantee results, such as receiving enquiries or successful transactions. Expiration or cancellation of a Subscription does not entitle you to any compensation or continued access.

5. Disclaimers and Limitation of Liability

5.1 Disclaimers

  • No Liability for User Content or Transactions: The Platform Operators are not responsible for any content posted by Users, including listings of counterfeit, defective, or unfit Medical Devices. We do not verify product authenticity, fitness for purpose, or compliance. All risks associated with Medical Devices (e.g., health risks, regulatory violations) are borne entirely by the relevant Users.
  • No Guarantee of Communications: We disclaim all liability for missed, delayed, or undelivered communications, including due to Subscription expiration, unsubscriptions, technical issues, or user errors. If a Manufacturer or Distributor unsubscribes and a Buyer sends an enquiry, we are not obligated to forward it or notify any party.
  • Uninvited Contacts: Any uninvited or unsolicited contacts received via the Platform are the responsibility of the sending User. We are not liable for spam, harassment, or related issues.
  • Medical Device Specific Disclaimers: The Platform is not a medical advisor. Use of Medical Devices listed here is at your own risk. We make no warranties regarding product safety, efficacy, or regulatory compliance.
  • The Platform is provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

5.2 Limitation of Liability

  • To the fullest extent permitted by law, the Platform Operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to lost profits, data loss, injury from defective devices, or business interruptions.
  • Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim (or €0 if no payment was made).
  • You agree that these limitations apply even if we have been advised of the possibility of damages and regardless of the legal theory (contract, tort, etc.).
  • We are protected from all eventualities, including regulatory fines, product recalls, or third-party claims related to User activities. Nothing in these Terms limits our liability for death or personal injury caused by our gross negligence (where such limitation is prohibited by law).

6. Indemnification

You agree to indemnify, defend, and hold harmless the Platform Operators, our affiliates, officers, directors, employees, and agents from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform or breach of these Terms.
  • Any listings, products, or transactions involving counterfeit, defective, or unfit Medical Devices.
  • Violations of laws, including data protection or medical regulations.
  • Missed communications due to Subscription issues, unsubscriptions, or uninvited contacts.
  • Any interactions between Users.

This indemnification survives termination of your account.

7. Intellectual Property

  • All Platform content (excluding User-generated content) is owned by us or our licensors. You are granted a limited, non-exclusive license to use it solely for your interactions on the Platform.
  • Users retain ownership of their content but grant us a worldwide, royalty-free license to host, display, and distribute it as needed to operate the Platform.
  • You represent that your content does not infringe third-party rights. We are not liable for IP claims arising from User content.

8. Termination

  • We may terminate or suspend your access at any time, without notice or liability, for any reason (e.g., breach of Terms, Subscription non-payment).
  • Upon termination, your right to use the Platform ends immediately. Outstanding obligations (e.g., indemnification) survive.
  • If you terminate your Subscription or unsubscribe, you release us from all claims related to subsequent non-delivery of enquiries or communications.

9. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of [Insert Jurisdiction, e.g., Portugal], without regard to conflict of laws principles.
  • Any disputes shall be resolved exclusively in the courts of [Insert Location, e.g., Faro, Portugal]. You waive any objections to venue or jurisdiction.

  • Severability: If any provision is invalid, the remainder remains in effect.

  • Force Majeure: We are not liable for delays due to events beyond our control (e.g., technical failures, pandemics).
  • Changes to Terms: We may update these Terms at any time. Continued use constitutes acceptance.
